Terms of Service
Draft — no effective date yet.
1. The parties
[To be written by counsel: The exact legal name, registration details and address of the contracting entity will be filled in by counsel before this document is final.]
2. What the service is
The service is software for managing customers, sites, assets, jobs, quotes and invoices for a field-service business, offered on a subscription basis. Current plans and prices are on the Pricing page.
3. Accounts and organizations
[To be written by counsel: Who may create an account, what "organization" means for billing and access purposes, and the terms under which an account or organization may be closed.]
4. Fees and billing
[To be written by counsel: Trial terms, billing cadence, accepted payment methods, refunds, and what happens when a subscription lapses. See also Pricing.]
5. Your data
You own the customer, job and business data you put into the service. How it is collected, used and protected is described in the Privacy Policy and the Data Processing Addendum.
6. Documents you generate
Quotes, invoices and receipts generated through the service are internal business records for your own bookkeeping. They are not, and are not represented as being, an official receipt or invoice registered with the Bureau of Internal Revenue (BIR). Compliance with BIR invoicing and receipt requirements remains your responsibility as the business owner.
7. Acceptable use
[To be written by counsel: Conduct that is not permitted on the service (e.g. unlawful use, abuse of shared infrastructure, attempts to access other tenants' data).]
8. Suspension and termination
Today, an account that falls behind on payment or is suspended by the platform is put into a read-only state — you can still sign in and export your data, but not create or change records, until the account is reactivated.
[To be written by counsel: The remaining legal terms for suspension, termination and data deletion on account closure.]
9. Disclaimers and limitation of liability
[To be written by counsel: Warranty disclaimers and limits on liability.]
10. Governing law and disputes
[To be written by counsel: Governing law and how disputes are resolved.]
11. Changes to these terms
[To be written by counsel: How and when these terms may change, and how you will be notified.]
12. Contact
[To be written by counsel: How to reach us about these terms.]
